These Terms of Trading apply to quotations, orders, invoices, credit accounts and commercial supply by Securatech (TAS) Pty Ltd unless a written quotation, contract or account approval expressly states otherwise. They are intended to provide clear and practical trading arrangements for our clients.
1. Application and acceptance
These terms apply when a client accepts a Securatech quotation, places an order, instructs us to proceed, opens a trading account, receives goods or services from us, or otherwise enters into a commercial arrangement with Securatech. A project-specific written agreement or accepted quotation prevails to the extent of any direct inconsistency.
2. Standard payment terms
Unless otherwise approved in writing, our standard trading terms are 14 days from invoice date. Payment must be made in cleared funds using a payment method nominated on the invoice. An account application does not automatically create credit terms or a credit limit.
Extended trading terms may be made available following an approved Trading Account Application. Approval, credit limits and any extended terms are at Securatech's discretion and may be reviewed where reasonably necessary having regard to payment history, account activity and credit risk.
3. Deposits and hardware prepayment
For orders or projects with a value above $5,000, Securatech may require a 50% deposit before procurement, scheduling or commencement. The balance is payable in accordance with the accepted quotation or invoice.
In some circumstances, including special-order, high-value, non-returnable or project-specific equipment, all hardware may be required to be paid in advance. Any such requirement will be identified in the quotation, order confirmation or prior written communication.
4. Quotations, pricing and GST
Unless stated otherwise, quoted prices are in Australian dollars and GST is dealt with as shown in the quotation or invoice. Quotations are based on the information, site conditions and scope available when prepared. A quotation is valid for the period stated in that quotation and may be revised where supplier pricing, exchange rates, freight, taxes, duties, availability, scope or site conditions materially change before acceptance.
5. Variations and additional work
Work outside the accepted scope, including client-requested changes, additional attendance, concealed conditions, rectification of existing defects, after-hours work or third-party requirements may be treated as a variation and charged separately. Where practical we will identify material variations before proceeding, except where immediate action is reasonably required to make a site or system safe or to prevent further loss.
6. Credit accounts and account administration
Credit facilities are subject to approval. Securatech may set or amend a credit limit, request updated account information, require deposits or prepayment, or suspend further credit where invoices are overdue or there is a reasonable concern about credit risk. A trading account is for the approved applicant and may not be transferred without our written agreement.
7. Overdue accounts and recovery
If an amount is overdue, Securatech may pause further supply, support, procurement or scheduled work until the account is brought up to date. The client is responsible for reasonable external costs actually incurred by Securatech in recovering overdue undisputed amounts, to the extent permitted by law. We encourage clients to raise invoice queries promptly so genuine disputes can be addressed before due dates pass.
8. Title, risk and PPSA
To the extent permitted by law and where applicable to goods supplied on credit, title in goods remains with Securatech until all amounts owing for those goods are paid in full. Risk in goods may pass on delivery, installation or another point stated in the quotation. The Personal Property Securities Act 2009 (Cth) may apply to security interests arising from retention-of-title or other supply arrangements, and Securatech may register an interest where reasonably required to protect goods supplied on credit.
The operation of retention-of-title rights can be affected once goods become fixtures or are incorporated into other property. Nothing in these terms claims rights that cannot lawfully be created or enforced.
9. Delivery, supply and availability
Delivery dates and project schedules are estimates unless expressly stated as fixed. Hardware availability, freight, manufacturer lead times, site access, client approvals, third-party dependencies and events outside our reasonable control can affect timing. We will communicate material delays where reasonably practicable.
10. Cancellations, returns and special orders
Orders for special-order, configured, licensed, customised or non-returnable goods may not be cancellable after procurement has commenced. Where cancellation or return is accepted, the client may be responsible for reasonable supplier cancellation, restocking, freight, labour or administrative costs actually incurred. Any consumer rights that cannot be excluded remain unaffected.
11. Client responsibilities
The client must provide timely site access, accurate contact and billing details, required approvals, safe working conditions, relevant plans and information, and any agreed permits, inductions or escorts. Delays or additional costs caused by unavailable access, inaccurate information, incomplete third-party works or conditions outside the agreed scope may be charged as a variation.
12. Warranties and Australian Consumer Law
Manufacturer warranties apply to relevant products in accordance with their terms. Securatech workmanship warranties and any project-specific warranty commitments are as stated in the applicable quotation, agreement or service documentation. Nothing in these terms excludes, restricts or modifies any guarantee, right or remedy that cannot lawfully be excluded, including applicable rights under the Australian Consumer Law.
13. Errors, third-party information and existing conditions
Securatech is not responsible for errors, omissions or additional costs caused by inaccurate or incomplete information supplied by the client or a third party, undisclosed site conditions, concealed services, pre-existing faults, unauthorised changes to systems, or third-party designs, drawings, software, networks or services outside our control. This does not exclude responsibility for Securatech's own acts or omissions where liability cannot lawfully be excluded.
14. Liability
To the maximum extent permitted by law, Securatech is not liable for indirect or consequential loss that is not a reasonably foreseeable result of our breach, or for loss caused by matters outside our reasonable control. Where the law permits a remedy to be limited, our liability may be limited to re-supplying the affected goods or services or paying the reasonable cost of doing so. These limitations do not apply where they would be unlawful or would remove a non-excludable statutory right.
15. Intellectual property and software
Manufacturer software, licences and cloud services remain subject to their applicable licence terms. Unless otherwise agreed, Securatech retains ownership of its pre-existing methods, templates, standard documentation, configuration tools and know-how. The client may use project-specific documentation supplied to it for the operation and maintenance of the relevant site and system.
16. Privacy and credit assessment
Securatech may collect and verify business and contact information reasonably required to assess, establish and administer a trading account, communicate about work and invoices, and manage credit risk. We may contact trade references nominated by an applicant. Personal information is handled in accordance with our Privacy Policy.
17. Disputes
If a dispute arises, each party should first provide the other with reasonable details and an opportunity to resolve the matter through good-faith discussion. Undisputed amounts remain payable in accordance with the applicable invoice terms. Nothing in this clause prevents either party from exercising an urgent legal right or a right that cannot be excluded.
18. Governing law
These terms are governed by the laws of Tasmania, Australia. Subject to any rights that cannot be excluded, the courts of Tasmania have jurisdiction in relation to disputes arising from these terms.
19. Contact and account applications
Account applications and account enquiries can be sent to accounts@securatech.com.au. Service and project enquiries can be sent to info@securatech.com.au.
